By creating an account, starting a trial, purchasing a subscription, accessing an API, or otherwise using GetClosifi (the "Service"), you agree to these Terms & Conditions (the "Terms"). If you use the Service for a business or organization, you represent that you have authority to bind that organization to these Terms.
1. Service Description
GetClosifi is a software-as-a-service platform designed to help businesses manage leads, organize conversations, qualify prospects, automate permitted messaging workflows, connect supported third-party services, and hand qualified opportunities to human teams. Features may change as the Service is improved.
2. Eligibility and Account Registration
You must provide accurate and current account information and keep your login credentials confidential. You are responsible for activity performed through your account, workspace, API keys, connected channels, and authorized users.
3. Acceptable Use and Messaging Compliance
You may use the Service only for lawful business purposes. You must not use GetClosifi for spam, deceptive practices, unlawful surveillance, harassment, fraudulent activity, prohibited goods or services, unauthorized scraping, or messaging people without any consent or legal basis required by applicable law or platform rules.
You are responsible for complying with WhatsApp, Instagram, Meta and other connected-platform policies, including messaging windows, templates, opt-in requirements, rate limits, account restrictions, and content rules.
4. Customer Data and Data-Processing Boundaries
You retain ownership of the customer, lead, business, and content data you lawfully provide to the Service. You instruct GetClosifi to process that data only as necessary to provide configured features, support, security, reliability, legal compliance, and authorized integrations. GetClosifi does not acquire ownership of your lead lists merely because they are processed through the Service.
You are responsible for having the permissions, notices, consents, and legal basis required to collect, upload, process, and message the personal data you submit to GetClosifi.
5. API Keys and Integration Security
API keys, webhook secrets, access tokens, and other integration credentials are confidential. You must store them securely, avoid embedding secret credentials in public client-side code, rotate compromised credentials promptly, and restrict access to authorized personnel. You are responsible for requests made using credentials issued to your account unless you promptly report suspected compromise.
6. Third-Party Services
Some features depend on third-party services such as Meta, WhatsApp, Instagram, Google, email providers, AI providers, cloud infrastructure, and payment gateways. Their services are governed by their own terms, policies, approvals, permissions, and availability. GetClosifi is not responsible for a third party suspending an account, changing an API, rejecting an integration, or experiencing an outage outside GetClosifi's reasonable control.
7. Trial, Plans, Fees and Billing
Eligible new customers may receive a 7-day free trial as described on the applicable signup or pricing page. Paid plans, usage limits, included features, billing intervals, and prices are displayed before purchase and may be updated prospectively. Taxes, if applicable, may be added as required by law.
Payment transactions may be handled by an independent payment gateway. Your purchase is also subject to our Refund & Cancellation Policy.
8. Cancellation
You may request cancellation of a paid subscription at any time through available account controls or support. Cancellation stops renewal for the next billing cycle. Unless otherwise required by law or expressly stated in our Refund & Cancellation Policy, access continues through the already-paid billing period and unused time is not automatically refunded.
9. Intellectual Property
GetClosifi and its software, interface, branding, documentation, product design, workflows, and underlying technology are owned by or licensed to GetClosifi and are protected by applicable intellectual-property laws. These Terms grant only a limited, revocable, non-transferable right to use the Service during an authorized trial or subscription.
10. Suspension and Termination
We may restrict or suspend access where reasonably necessary to address non-payment, security threats, abuse, legal requests, prohibited use, material violations of these Terms, or risks to other users or connected platforms. We will use reasonable efforts to provide notice where appropriate and lawful.
11. Service Availability and Changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, third-party outages, internet failures, platform-policy changes, force majeure events, or emergency security work may affect availability. We may modify or discontinue features where reasonably necessary.
12. Disclaimer and Limitation of Liability
To the maximum extent permitted by applicable law, the Service is provided on an "as available" basis without warranties that business outcomes, lead conversions, revenue, or platform approvals will be achieved. GetClosifi is not liable for indirect, incidental, special, punitive, or consequential losses arising from use of the Service where such limitation is permitted by law.
Where liability cannot be excluded, GetClosifi's aggregate liability for claims arising from the Service will not exceed the fees actually paid by the customer to GetClosifi for the affected Service during the three months immediately preceding the event giving rise to the claim, unless applicable law requires otherwise.
13. Indemnity
You agree to be responsible for claims, losses, or expenses arising from your unlawful content, unauthorized messaging, violation of third-party platform rules, misuse of the Service, or infringement of another person's rights, to the extent permitted by applicable law.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Subject to any mandatory dispute-resolution rights under applicable law, courts having jurisdiction in Indore, Madhya Pradesh, India will have jurisdiction over disputes relating to these Terms or the Service.
15. Changes to These Terms
We may update these Terms to reflect changes in the Service, law, security requirements, or business practices. Material updates will be published with a revised "Last updated" date.
